Terms of Service

1. Introduction

These terms of service ("Terms") govern your use of the Tiraverse MTD platform ("Service"), operated by Tiraverse Ltd, a company registered in England and Wales (company number 17036977) ("we", "us", "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service description

Tiraverse MTD is Making Tax Digital bridging software that enables UK sole traders, landlords, and limited companies to:

  • Upload and process financial documents (receipts, invoices, bank statements) using OCR.
  • Automatically categorise transactions against HMRC self-employment and property categories.
  • Submit quarterly updates, annual summaries, VAT returns, and final declarations to HMRC.
  • Export data in formats compatible with Sage, Xero, QuickBooks, and FreeAgent.

3. Eligibility

You must be at least 18 years old and a UK tax resident (or acting on behalf of a UK-registered business) to use the Service. By registering, you confirm that the information you provide is accurate and complete.

4. Your account

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately if you suspect unauthorised access to your account.
  • You are responsible for all activity that occurs under your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

5. HMRC submissions

Important: When you use Tiraverse MTD to submit data to HMRC, you are making a legal declaration. Specifically:

  • You are solely responsible for the accuracy and completeness of data submitted to HMRC through the Service.
  • You must review all transactions and categories before submitting to HMRC.
  • Automatically suggested categories are recommendations only — you must confirm them before submission.
  • The Final Declaration is a legally binding statement that your tax return is correct and complete to the best of your knowledge.
  • Tiraverse Ltd is not responsible for penalties, interest, or other consequences arising from inaccurate submissions.

6. HMRC authorisation

To submit data to HMRC on your behalf, you must authorise Tiraverse MTD via HMRC's OAuth 2.0 process. When you grant this authorisation:

  • We store your HMRC access and refresh tokens securely (encrypted with AES-256-GCM).
  • We use these tokens only to perform actions you explicitly request (submitting returns, retrieving obligations).
  • You can revoke this authorisation at any time in Settings or directly on HMRC's website.
  • If your authorisation expires or is revoked, you will need to reconnect before making further submissions.

7. Fraud prevention

HMRC requires all Making Tax Digital software to collect and transmit fraud prevention headers with every API request. By using the Service, you consent to the collection of browser metadata (user agent, screen size, timezone, device identifier, IP address) as described in our Privacy Policy.

8. Acceptable use

You agree not to:

  • Use the Service to submit false or misleading information to HMRC.
  • Attempt to gain unauthorised access to other users' accounts or data.
  • Use automated tools to scrape or overload the Service.
  • Reverse engineer, decompile, or disassemble the Service.
  • Use the Service for any purpose other than legitimate tax record-keeping and HMRC submissions.

9. Intellectual property

The Service, including its design, code, and branding, is owned by Tiraverse Ltd and protected by copyright and other intellectual property laws. Your data remains yours — we claim no ownership over the financial data you upload or create.

10. Service availability

  • We aim to keep the Service available at all times but do not guarantee uninterrupted access.
  • We may perform maintenance that temporarily affects availability. Where possible, we will provide advance notice.
  • HMRC API availability is outside our control. If HMRC systems are unavailable, submissions will need to be retried later.

11. Limitation of liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind, whether express or implied.
  • Tiraverse Ltd shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.
  • Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • Nothing in these Terms excludes liability for death, personal injury, or fraud.

12. Indemnification

You agree to indemnify and hold harmless Tiraverse Ltd from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or inaccurate data submitted to HMRC through the Service.

13. Termination

  • You may close your account at any time via Settings > Privacy > Delete my account.
  • We may suspend or terminate your account if you breach these Terms.
  • Upon termination, your data will be handled as described in our Privacy Policy (30-day grace period, then permanent deletion).
  • Financial records required by law will be retained for the statutory period (7 years) even after account deletion.

14. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

15. Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
